The company manages call centre contracts providing IT configuration services to main providers such as BT and similar. There are reportable events for 2003/04 and 2004/05 in respect of share issues but the company wishes to attract and retain key executives and would allocate 10 % of the equity for share options. The directors want to ensure their CGT/EIS reliefs are applicable on the capital gains and they do not attract income tax rules on the gains arising. They also want to make all the elections necessary to protect their position to be only taxed under CGT and claim EIS reliefs. Can you suggest an outline or may I browse a specimen scheme you have?
The other company:
1. develops and markets IT software; start up in May 2003; Shares issued 2
2. The key directors and original shareholders develop the software and getting shares issued in return for transfer of IP to the co.
3. Further shares are issued to take the issued shares to 100,000 of £1 each.
4. there are two shareholders and directors (non-working) who paid £2000 each for 2000 shares each ; another pays £7500 for 7500 shares. The rest are for IP 65000, services 2500 and 21000 for technical services.
5. The aim is to report the events for 2003/04 and ensure the gains are only taxed under CGT and be eligible for EIS reliefs. The required elections are made for any share restrictions etc.
Is it better to apply the R&D and let the company claim the enhanced capital allowances; let the shareholder buy the shares and claim any relief on his investment via EIS (income tax) and pay for the shares. OR is it better to sell the IP to the company for shares? Is it a CGT disposal?

However, the Indian Company says it cannot make the settlement unless the RBI was applied as they are considered to be companies in the same Group? Is this true? This small private limited company, incorporated in Oct 2001, was started by two brothers who have invested their own money into the business to develop this system.
They have not drawn up a prospectus but have Financial Statements (not audited). The development costs have been capitalised as research and development and valued at £114,000.
I understand (although I have not seen proof) a well-known car hire firms are keen to use this system and the orders/potential orders are from blue chip companies.
Since incorporation they have invited several small investors, mainly IT contractors who have been working on the programming, to purchase shares. Most have. Several of these investors have become directors of the company. Shares were issued through a Solicitor.
Initially the Company was incorporated with an Authorised share capital of 1000 £1 ordinary shares of which 2 were issued (fairly normal up to now!). A year later, they changed the financial year end to 31st March 2003, increased the authorised share capital by 8000 and sub-divided the share capital to 90,000,000 0.1p ordinary shares. The new share capital of £90,000 was used to write off a corresponding amount of the loan made by the brothers to the Company. The investors mentioned above have bought about 10% of the share capital. Again this was not done very well (in my view) as the brothers sold the shares direct to the investors and then re-invested the proceeds into the Company in a form of a further loan from themselves. As they sold the shares for about 10 times the face value, I suspect they will have a substantial capital gain.
My skills in Management Accounting and I was originally approached to put in an accounting system, set it up, train personnel and monitor on a quarterly basis. They also asked me to prepare the accounts from the records they have supplied. After all the transactions mentioned above, together with a £82k loss for the year, the balance sheet value is £8k.
